<strong>Intralot<\/strong>, in which the Athens-listed gambling group will acquire Bally\u2019s International Interactive business and push to become a global iGaming champion.<\/p>\n\n\n\n<p>After assumptions of certain liabilities by the involved parties, the transaction is set to be a cash-and-shares deal worth <strong>\u20ac2.7bn \u2013 \u20ac1.53bn in cash <\/strong>consideration and <strong>\u20ac1.136bn in newly issued shares<\/strong> in new Intralot <strong>(873,707,073 shares<\/strong> at an implied value of <strong>\u20ac1.30 per share<\/strong>).<\/p>\n\n\n\n<p>As part of the transaction, Bally\u2019s CEO and board member, <strong>Robeson Reeves<\/strong>, has been named the new Intralot CEO, as the company is expected to refinance part of its existing debt facilities, while Bally\u2019s is expected to repay secured debt from the cash proceeds.<\/p>\n\n\n\n<p>Subject to certain Intralot shareholder approvals, customary antitrust and gaming regulatory approvals and other customary closing conditions, the deal is expected to be completed in the <strong>fourth quarter of 2025<\/strong>.<\/p>\n\n\n\n<p>\u201cThis transaction marks a transformative moment for Bally\u2019s as we unite our outstanding gaming and data technology with Intralot\u2019s exceptional expertise in lottery,\u201d commented Reeves.<\/p>\n\n\n\n<p>\u201cTogether, we are creating a unique proposition that will pave the way for a new era of innovation and growth across the entire gaming spectrum.\u201d<\/p>\n\n\n\n<p>Bally\u2019s and Intralot believe the deal will create a \u201cglobal iGaming and lottery champion\u201d, combining Intralot\u2019s lottery business with Bally\u2019s international iGaming operations to have a presence in several <strong>European<\/strong> and <strong>North American<\/strong> markets, with Intralot benefiting from Bally\u2019s position in online casino markets such as the <strong>UK<\/strong>.<\/p>\n\n\n\n<p>In 2021, Bally\u2019s bolstered its online portfolio through a<strong> \u00a32bn<\/strong> acquisition of <strong>Gamesys Group<\/strong>, securing ownership of brands such as <strong>Jackpotjoy, Vera&amp;John and Virgin Games<\/strong>, while laying the groundwork for its <strong>BallyBet<\/strong> launch in <strong>Ontario<\/strong>.<\/p>\n\n\n\n<p>It is forecasted by the two companies that the merger of Bally\u2019s sustainable iGaming revenue in the UK will complement Intralot\u2019s more than<strong> \u20ac1.4bn<\/strong> in contracted lottery revenue through <strong>2029<\/strong>, producing an enhanced aggregated financial profile with <strong>\u20ac1.1bn <\/strong>revenues, approximately <strong>38% presynergies EBITDA margin<\/strong> and strong operating free cash flow conversion above <strong>90%<\/strong>.<\/p>\n\n\n\n<p>The transaction will also see the integration of Intralot\u2019s <strong>LotosX, PlayerX<\/strong> systems with Bally\u2019s International Interactive\u2019s <strong>Vitruvian<\/strong> data analytics platform to form a new technology stack offering platform enhancement, loyalty program integration, data-driven marketing and real-time customer insights.<\/p>\n\n\n\n<p>Alongside Reeves, current Intralot CEO and board member, <strong>Nikolaos Nikolakopoulos<\/strong>, is expected to serve as President and CEO of Intralot\u2019s lotteries division, while Intralot Deputy CEO and board member, <strong>Chrysostomos Sfatos<\/strong>, will become Intralot\u2019s CFO.<\/p>\n\n\n\n<p>\u201cIntralot takes a major step forward in becoming a global technology and services leader in the Lottery and Gaming sectors,\u201d stated Nikolakopoulos.<\/p>\n\n\n\n<p>\u201cBally\u2019s brings unparalleled digital capabilities, technological and operational, giving us a unique advantage in helping State Lotteries enhance player experiences and maximise returns for good causes.\u201d<\/p>\n\n\n\n<p>As for the new entity\u2019s board following the transaction, Intralot has said it is \u201cexpected to undertake any necessary corporate actions required by Greek law to cause the Intralot board of directors following the completion of the Transaction to comprise 11 directors, a majority of whom will be independent\u201d.<\/p>\n\n\n\n<p>Intralot\u2019s founder and current Chair, <strong>Sokratis Kokkalis<\/strong>, as well as Bally\u2019s Chair and Vice Chair of Intralot\u2019s board, <strong>Soohyung Kim<\/strong>, will be part of the board, with Reeves and Nikolakopoulos expected to serve as directors too.<\/p>\n\n\n\n<p>Kim commented: \u201cThis is a tremendous statement of intent that signals Bally\u2019s strong commitment to establishing a global lottery and online gaming champion. By joining with Intralot, the resulting company will be anchored in Europe, and will have significantly greater financial scale from which to drive growth and compete on a global basis.\u201d<\/p>\n\n\n\n<p>Once the transaction is completed, Intralot is expected to keep its listing on the Athens Stock Exchange, with Bally\u2019s \u2013 its current largest shareholder \u2013 to become its majority shareholder with a notable equity stake and Kokkalis to maintain his significant stake.<\/p>\n\n\n\n<p>The joint statement read: \u201cBally\u2019s and its affiliates\u2019 ownership in Intralot has increased <strong>from 26.86% to 33.34%<\/strong>, following which a mandatory tender offer obligation for the remaining outstanding shares of Intralot has been triggered.\u201d<\/p>\n\n\n\n<p>Intralot has gained commitments from <strong>Citizens Bank, Deutsche Bank, Goldman Sachs, <\/strong>and <strong>Jefferies<\/strong> for debt financing up to <strong>\u20ac1.6bn to support<\/strong> the \u20ac1.53bn cash consideration.&nbsp;<\/p>\n\n\n\n<p>Subject to corporate and regulatory approvals, the company also expects to go ahead with a share capital increase by up <strong>to \u20ac400m <\/strong>\u201cby way of an equity offering of shares listed on the Athens Stock Exchange\u201d.<\/p>\n\n\n\n<p>Forecast to be completed in Q4 this year, Bally\u2019s has secured commitments for a $500m secured debt facility in connection with the transaction, which will be used to repay secured debt alongside cash proceeds from the merger deal.<\/p>\n\n\n\n<p>Bally\u2019s noted that it has \u201csecured commitments for a <strong>$100mn<\/strong> delayed draw secured debt facility, which may be used following the consummation of the transaction for general corporate purposes, including the development of <strong>Bally\u2019s Chicago<\/strong>\u201d.<\/p>\n\n\n\n<p>Kokkalis added: \u201cThe transaction we announced today marks a doubly important day: On the one hand, for Intralot, which is growing with the acquisition of the online division of Bally\u2019s International Interactive, creating a company with significant multiples in operating profits and unlimited space to expand into online gaming.&nbsp;<\/p>\n\n\n\n<p>\u201cIt is also a special day for me personally to see the company I founded 33 years ago in Greece and which has become one of the top three companies in the lottery technology industry worldwide through its technology innovation and dynamism, acquiring new vision and prospects.
