Banijay Group<\/strong> has agreed terms to merge its Betclic<\/strong> business with Tipico Sportwetten<\/strong>, in a transformative deal for European gambling markets. <\/p>\n\n\n\n

Announced this morning, Banijay, Europe\u2019s largest entertainment and media production firm, has begun deal proceedings to acquire a majority 65% stake in Tipico from private equity owners CVC<\/strong> Capital<\/strong> and founders.<\/p>\n\n\n\n

The transaction will see Banijay \u2018enlarge its gaming umbrella\u2019, combining Betclic (leader in France) and Tipico (leader in Germany) as its new asset to establish a +\u20ac3bn ($3.2bn)revenue unit with an adjusted EBITDA of \u20ac850m ($910m) (combined pro-forma results for FY2024). <\/p>\n\n\n\n

Announcing the merger to the Amsterdam Euronext, Banijay CEO Fran\u00e7ois Riahi<\/strong> described the deal as a \u201ctransformative step\u201d that cements Banijay\u2019s position as the \u201cnatural consolidator across the entertainment and gaming industries\u201d.<\/p>\n\n\n\n

 \u201cTipico fits perfectly with our DNA \u2014 a strong leader in two regulated markets, highly profitable and product-focused. This deal provides Banijay with the reach, scale and diversification that already define our content business.\u201d<\/p>\n\n\n\n

Once completed, Banijay Gaming will operate three core brands \u2014 Betclic, Tipico and Admiral Austria, serving 6.5 million active customers across six regulated markets: Germany, France, Portugal, Austria, Poland and C\u00f4te d\u2019Ivoire.

As cited by the dealmakers: \u201cThe combined group will unite strong local champions across key markets. Betclic is a leading operator in France, Portugal, Poland and C\u00f4te d\u2019Ivoire, generating \u20ac1.4bn ($1.5bn) in revenues in 20246 through its strong digital expertise.<\/p>\n\n\n\n

\u201cTipico is Germany\u2019s leading omnichannel sports betting and online gaming operator, with \u20ac1.3bn ($1.4bn)\u00a0 in 2024 revenues. In September 2025, Tipico further expanded its footprint with the acquisition of Admiral in Austria, a long-established omnichannel sports betting and retail gaming brand in Austria, which delivered \u20ac346m ($372m) in revenues in 2024.\u201d<\/p>\n\n\n\n

Banijay seeks to grow its controlling stake in Tipico to 72% via the purchase of further equity from CVC Capital. The founders of both Betclic and Tipico will roll over their equity and remain long-term shareholders in Banijay Gaming.<\/strong><\/p>\n\n\n\n

Tipico CEO Axel Hefer<\/strong> added: \u201cJoining forces with Betclic represents the deal we\u2019ve been working towards \u2014 refocusing on Europe, expanding in Austria and now building a broader European platform. The partnership gives us the scale and resources to accelerate innovation and set new standards for our customers.\u201d<\/p>\n\n\n\n

The transaction is backed by a \u20ac3bn ($3.2bn) financing package to refinance Tipico\u2019s existing debt, bringing Banijay\u2019s group leverage to 3.5x, with a target to fall below 2.5x within three years.<\/p>\n\n\n\n

Banijay stated that the merger will deliver \u20ac100m ($108m) in annual synergies through product innovation, platform efficiencies and shared procurement.<\/p>\n\n\n\n

Under the new governance model, Betclic founder Nicolas B\u00e9raud will become Chairman of Banijay Gaming<\/em> from January 2026, with Lov Group Invest continuing as President. <\/p>\n\n\n\n

Julien Brun<\/strong> steps up to become CEO of Betclic, while Axel Hefer remains CEO of Tipico and Joachim Baca<\/strong> joins as Vice-Chairman of the Banijay Gaming board.<\/p>\n\n\n\n

The board and leadership team of Banijay Gaming has pledged that \u201cbusiness will operate exclusively in locally regulated markets and maintain the highest standards of player protection, integrity and responsible gaming.\u201d<\/p>\n\n\n\n

The new leadership team of Banijay Gaming views options on a planned public listing or partial spin-off of the enlarged gaming unit within a period of two-to-three years.  <\/p>\n\n\n\n

Banijay confirmed that it will publish a prospectus detailing its long-term strategy to develop a new \u201cEuropean Champion in gaming with strong localised roots\u201d. Meanwhile Industry analysts are expected to scrutinise the merger\u2019s growth trajectory closely, given the highly taxed home markets of Germany and France, where effective gross gaming income rates now exceed 50% as of 2025.<\/p>\n\n\n\n

The deal remains subject to customary conditions precedent, including merger control and gambling regulatory approvals of the European Commission<\/strong> (DG COMP), Germany\u2019s Bundeskartellamt<\/strong> (FCO), Austria\u2019s Bundeswettbewerbsbeh\u00f6rde<\/strong> (BWB) and France\u2019s Autorit\u00e9 de la Concurrence,<\/strong> given the combined group\u2019s significant market presence across regulated EU<\/strong> markets.<\/p>\n\n\n\n
