{"id":13433,"date":"2026-07-07T12:52:19","date_gmt":"2026-07-07T11:52:19","guid":{"rendered":"https:\/\/sbceurasia.com\/en\/?p=13433"},"modified":"2026-07-07T12:52:22","modified_gmt":"2026-07-07T11:52:22","slug":"banijay-gaming-acquires-joa-casino-and-strengthens-position-in-france","status":"publish","type":"post","link":"https:\/\/sbceurasia.com\/en\/2026\/07\/07\/banijay-gaming-acquires-joa-casino-and-strengthens-position-in-france\/","title":{"rendered":"Banijay Gaming Acquires JOA Casino and Strengthens Position in France"},"content":{"rendered":"\n<p><strong>Banijay Gaming<\/strong> has agreed to acquire the casino network of <strong>Groupe JOA, <\/strong>in a move that will expand its position in its home-market of France.<\/p>\n\n\n\n<p>The transaction, agreed through a put option with funds managed by <strong>Blackstone and Kings Park Capital,<\/strong> will see Banijay Gaming add JOA\u2019s network of 33 casinos to its portfolio.<\/p>\n\n\n\n<p>Deal proceedings remain subject to consultation between JOA\u2019s employee representatives, merger control clearance and French gaming regulatory approvals, with completion expected in the second half of 2026.<\/p>\n\n\n\n<p>The transaction further underlines Banijay\u2019s online gambling ambitions, following the creation of Banijay Gaming \u2013 a standalone gambling division bringing together <strong>Betclic, Tipico<\/strong> and now JOA under a single European platform.<\/p>\n\n\n\n<p>Established following the completion of the Tipico acquisition in April, Banijay Gaming was launched as a new European gambling heavyweight, generating more than \u20ac7.5bn in annual revenues, adjusted EBITDA of approximately \u20ac1.6bn and annual cash flows exceeding \u20ac1bn.<\/p>\n\n\n\n<p>JOA strengthens Banijay\u2019s home market status, adding France\u2019s second-largest casino operator to its portfolio. It operates 33 casinos across France, generating approximately \u20ac430m in gross gaming revenues during 2025 while welcoming more than 4.6 million visitors annually.<\/p>\n\n\n\n<p>Banijay said the acquisition marks \u201canother important step\u201d in its strategy to build a diversified European gaming leader, with the combination of Betclic\u2019s digital expertise and JOA\u2019s nationwide retail estate expected to enhance its omnichannel capabilities and meet changing consumer expectations.<\/p>\n\n\n\n<p><strong>Nicolas B\u00e9raud,<\/strong> Chairman of Banijay Gaming, said: \u201cCustomers increasingly expect seamless experiences across digital and physical environments, and this transaction positions us perfectly to respond to that evolution.&nbsp;<\/p>\n\n\n\n<p>\u201cWe look forward to supporting JOA\u2019s next phase of development by bringing our expertise in technology, artificial intelligence and data, while preserving the entrepreneurial culture and operational excellence that have made the company successful.\u201d<\/p>\n\n\n\n<p><strong>French tax pressure<\/strong><\/p>\n\n\n\n<p>The acquisition also comes as France\u2019s gambling sector enters a period of significant transition.<\/p>\n\n\n\n<p>On 1 July 2025, France implemented one of its largest gambling tax reforms in recent years through the Social Security Financing Act, increasing duties across both online and land-based gambling to raise revenues for the country\u2019s social security system.<\/p>\n\n\n\n<p>For online sports betting operators, the effective fiscal burden increased from 54.9% to 59.3%, while France\u2019s casino sector also absorbed higher fiscal charges, with the combined burden of state duties and municipal levies now estimated at between 57% and 60% of gross gaming revenue for many physical establishments.<\/p>\n\n\n\n<p>Against that backdrop, Banijay\u2019s decision to expand its retail presence signals confidence in the long-term fundamentals of the French market despite a more demanding fiscal environment.<\/p>\n\n\n\n<p>Banijay Group CEO <strong>Fran\u00e7ois Riahi <\/strong>said the acquisition builds on the company\u2019s transformation following the Tipico deal: \u201cThe acquisition of Tipico has transformed us into a diversified omnichannel European leader in gaming, and the acquisition of JOA is fully relevant with this evolution. As in Germany and Austria, we will become a leader in land-based gaming in another of our core countries: France.\u201d<\/p>\n\n\n\n<p>The acquisition also coincides with a period of regulatory change in French gambling under new ANJ President <strong>Pascal Ch\u00e8vremont.<\/strong> France\u2019s prohibition on online casino gaming is expected to be reviewed, though it remains unclear whether this will lead to the launch of a regulated market sought by licensed operators.<\/p>\n\n\n\n<p><strong>Deal keeps JOA leadership<\/strong><\/p>\n\n\n\n<p>Banijay confirmed that JOA\u2019s governance and leadership structure will remain unchanged following completion of the transaction.<\/p>\n\n\n\n<p><strong>Laurent Lassiaz<\/strong> will continue as Chairman of JOA, alongside the existing management team.<\/p>\n\n\n\n<p>He said: \u201cJoining Banijay Gaming marks an exciting new chapter for JOA.
