{"id":5103,"date":"2024-03-26T14:05:27","date_gmt":"2024-03-26T14:05:27","guid":{"rendered":"https:\/\/sbceurasia.com\/en\/?p=5103"},"modified":"2024-03-26T14:05:31","modified_gmt":"2024-03-26T14:05:31","slug":"entain-faces-e104m-counterclaim-on-betcity-nl-deal-rewards","status":"publish","type":"post","link":"https:\/\/sbceurasia.com\/en\/2024\/03\/26\/entain-faces-e104m-counterclaim-on-betcity-nl-deal-rewards\/","title":{"rendered":"Entain Faces \u20ac104m Counterclaim on BetCity.nl Deal Rewards"},"content":{"rendered":"\n<p>Further developments have surfaced in the ongoing legal dispute between <strong><em>Entain Plc<\/em><\/strong> and <strong><em>Sports Entertainment Media BV <\/em><\/strong>regarding the deal valuation of BetCity.nl.<\/p>\n\n\n\n<p>On 19 March, Sports Entertainment Media BV and related parties submitted a counterclaim to the High Court of Justice of England and Wales demanding \u20ac104m in compensation from Entain.<\/p>\n\n\n\n<p>The counterclaim, put forward by the <strong>Singels family<\/strong> and former executives <strong>Melvin Bostelaar<\/strong> (CEO) and <strong>Robert Kooiman<\/strong> (CMO), disputes Entain\u2019s assertion that BetCity.nl was worth<a href=\"https:\/\/sbcnews.co.uk\/sportsbook\/2024\/03\/18\/entain-betcity-deal-value\/\"> \u20ac156m less than assumed<\/a> due to undeclared regulatory investigations at the time of its acquisition for \u20ac450m&nbsp; in January 2023.<\/p>\n\n\n\n<p>At the core of the dispute is the claim that Entain was aware of compliance investigations carried out by <strong>Kansspelautoriteit (KSA)<\/strong>, the Netherlands Gambling Authority, during the M&amp;A process undertaken between 2022 and 2023.<\/p>\n\n\n\n<p>In 2022, Entain finalized an agreement to purchase BetEnt BV, the entity behind BetCity.nl, which holds a KOA license in the Netherlands, for a total valuation of \u20ac850m. Initially, Entain acquired the shares of Sports Entertainment Media BV with a \u20ac300m cash payment.<\/p>\n\n\n\n<p>The deal also included performance-based incentives worth \u20ac550m . These incentives would increase Entain\u2019s total acquisition cost to over \u20ac800m, but only if BetCity.nl managed to achieve an EBITDA that was 10 times its value for the fiscal year 2023.<\/p>\n\n\n\n<p>However, in 2023, BetCity.nl incurred a \u20ac3m penalty due to substantial non-compliance with the Dutch <strong>Wwft,<\/strong> the Money Laundering and Terrorism Financing Prevention Act. Entain has alleged that these violations were deliberately concealed by Sports Entertainment Media BV and associated parties.<\/p>\n\n\n\n<p>BetCity.nl\u2019s former owners contend that Entain was informed of ongoing compliance investigations via emails, phone calls, and meetings with leadership during the period of November to December 2022.<\/p>\n\n\n\n<p>Following the acquisition of BetCity, Entain implemented operational changes to comply with Dutch regulations. These changes, deemed unnecessary by Sports Entertainment Media BV who assert that BetCity was already in compliance with Dutch laws, resulted in a revenue shortfall of \u20ac22m and an \u20ac83m loss for them.<\/p>\n\n\n\n<p>Therefore, the counterclaim asserts that Entain applied a compromised valuation to BetCity.nl\u2019s post-acquisition performance, effectively denying the former owners their performance rewards, believed to be around \u20ac104 million.<\/p>\n\n\n\n<p>The High Court of Justice of England and Wales is set to hear both cases, with court dates yet to be scheduled.
