{"id":9472,"date":"2025-05-16T12:28:27","date_gmt":"2025-05-16T11:28:27","guid":{"rendered":"https:\/\/sbceurasia.com\/en\/?p=9472"},"modified":"2025-05-16T12:28:34","modified_gmt":"2025-05-16T11:28:34","slug":"flutter-strengthens-its-position-in-brazil-through-betnacional-deal","status":"publish","type":"post","link":"https:\/\/sbceurasia.com\/en\/2025\/05\/16\/flutter-strengthens-its-position-in-brazil-through-betnacional-deal\/","title":{"rendered":"Flutter Strengthens Its Position in Brazil Through Betnacional Deal"},"content":{"rendered":"\n<p><strong>Flutter Entertainment<\/strong> has completed its takeover of a majority stake in <strong>NSX<\/strong>, the parent company of one of Brazil\u2019s largest online bookmakers, <strong>Betnacional<\/strong>.<\/p>\n\n\n\n<p>The <strong>NYSE<\/strong> firm paid $350m for a 56% stake in NSX, cementing its podium spot in yet another market, and one which has been by far the subject of the most hype over the past two years.<\/p>\n\n\n\n<p>Post-acquisition, Flutter expects that the integration will lead to US$200m in additional revenue for its international business by the end of 2025. However, it also anticipates an EBITDA loss of $70m as a result of the $350m payment and planned future customer investment.<\/p>\n\n\n\n<p><strong>Peter Jackson,<\/strong> CEO, commented: \u201cI am delighted to welcome NSX \u2013 the operator of leading Brazilian sports betting and iGaming brand, Betnacional \u2013 to the Flutter portfolio. The transaction demonstrates Flutter\u2019s powerful optionality as an \u2018and\u2019 business and aligns perfectly with our strategy for value-creating M&amp;A.<\/p>\n\n\n\n<p>\u201cThe combination of NSX\u2019s extensive local expertise, alongside our existing Brazilian business and the advantages of the <strong>Flutter Edge<\/strong>, creates a compelling opportunity to capitalize on the exciting runway of future growth in Brazil.\u201d<\/p>\n\n\n\n<p><strong>Taking the Flutter Edge to Brazil<\/strong><\/p>\n\n\n\n<p>For the past few years, Flutter has been implementing a policy of acquiring \u2018gold medal\u2019 brands in some of the world\u2019s largest markets. The company itself has its origins in M&amp;A, harking back to the merger between <strong>Paddy Power and Betfair<\/strong> in 2015.<\/p>\n\n\n\n<p>The firm acquired Georgia\u2019s <strong>Adjarabet<\/strong> back in 2019, and most significantly, US market leader <strong>FanDuel<\/strong> in 2020. Five years down the line, FanDuel stands out as by far the group\u2019s most valuable asset, though this has not led to the firm abandoning its international vision, with Italy becoming a particularly significant M&amp;A target.<\/p>\n\n\n\n<p>Given the huge amount of anticipation for Brazil market launch and projections that the sector will be worth US$10bn (R$47.2bn) in GGR by 2029, according to H2 Gambling Capital, it stands to reason that Flutter would want to apply its strategy of acquiring what it calls \u2018local heroes\u2019 to the country.<\/p>\n\n\n\n<p>Betnacional was established in 2021 and became one of the first licence holders in Brazil\u2019s early days regulated regime, \u2018Bets\u2019, launched on 1 January this year. The company is the fifth largest by market share, but operates in what is already a highly competitive and saturated market.<\/p>\n\n\n\n<p>Flutter first secured terms to acquire a 56% stake in NSX in September last year. The plan is for NSX\/Betnacional to form the backbone of a \u2018Flutter Brazil\u2019 business, with backing from the group\u2019s \u2018Flutter Edge\u2019 product, tech, and scale support.<\/p>\n\n\n\n<p>NSX\u2019s CEO, <strong>Jo\u00e3o Studart,<\/strong> will remain at the company and has been assigned the leadership role at Flutter\u2019s new Brazilian operation.
