{"id":9922,"date":"2025-06-26T10:07:37","date_gmt":"2025-06-26T09:07:37","guid":{"rendered":"https:\/\/sbceurasia.com\/en\/?p=9922"},"modified":"2025-06-26T10:07:43","modified_gmt":"2025-06-26T09:07:43","slug":"the-star-entertainment-group-approves-investments-from-ballys-and-investment-holdings","status":"publish","type":"post","link":"https:\/\/sbceurasia.com\/en\/2025\/06\/26\/the-star-entertainment-group-approves-investments-from-ballys-and-investment-holdings\/","title":{"rendered":"The Star Entertainment Group Approves Investments from Bally\u2019s and Investment Holdings"},"content":{"rendered":"\n<p>Shareholders of <strong>The Star Entertainment Group<\/strong> have approved strategic investments from <strong>Bally\u2019s Corporation <\/strong>and<strong> Investment Holdings<\/strong>, with a total value of <strong>AUD 300 million (approximately USD 195 million)<\/strong>.<\/p>\n\n\n\n<p>In April, the Australian casino operator signed a binding preliminary agreement with Bally\u2019s and Investment Holdings, and on <strong>June 25,<\/strong> the company\u2019s shareholders formally approved the investments by voting at a general meeting.<\/p>\n\n\n\n<p>During the meeting on June 25, shareholders voted on four key issues:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Approval of Bally\u2019s acquisition of a stake in The Star\u2019s shares;<\/li>\n\n\n\n<li>Approval of Investment Holdings\u2019 acquisition of a stake in The Star\u2019s shares;<\/li>\n\n\n\n<li>Approval and ratification of the previously issued Tranche 1A convertible notes;<\/li>\n\n\n\n<li>Approval and ratification of the previously issued Tranche 1B convertible notes.<\/li>\n<\/ul>\n\n\n\n<p>Each resolution received over 98% approval from eligible voting shareholders. Bally\u2019s investment received 99.36% approval, Investment Holdings received 99.17%, the Tranche 1A notes received 99.15%, and the Tranche 1B notes 98.83%.<\/p>\n\n\n\n<p>Before the vote, The Star\u2019s Chair, Anne Ward, noted that the company is facing \u201cuncertainty as a going concern in a challenging market environment,\u201d as well as legal proceedings, including a civil case initiated by <strong>AUSTRAC<\/strong>, which concluded on June 11.<\/p>\n\n\n\n<p>Ward emphasized that the investments from Bally\u2019s and Investment Holdings \u201cprovide cash funding and support The Star\u2019s ability to continue operations,\u201d helping reduce the risk of voluntary administration.<\/p>\n\n\n\n<p>Independent expert Grant Samuel concluded that although the terms of the deals are \u201cnot fair,\u201d shareholders would \u201cbe better off\u201d if the investments proceed.<\/p>\n\n\n\n<p>The Star has also undertaken major management reshuffling and subsidiary appointments as part of its regulatory compliance strategy.<\/p>\n\n\n\n<p>Key new appointments include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Jennifer Cronin<\/strong> \u2013 Interim CEO of The Star Gold Coast and Director of The Star Entertainment Qld Custodian Pty Limited<\/li>\n\n\n\n<li><strong>Rowene Craze<\/strong> \u2013 Chief Risk Officer (CRO), formerly the Director of Internal Audit<\/li>\n\n\n\n<li><strong>Patrick McGlinchey<\/strong> \u2013 Chief Legal Officer (CLO), with 30 years of experience and prior roles at The Lottery Corporation and Tabcorp<\/li>\n\n\n\n<li><strong>Sarah Derry<\/strong> \u2013 Chief People Officer (CPO), who assumes the role full-time from July after regulatory approval; previously CEO of Accor Pacific<\/li>\n\n\n\n<li><strong>Peter Meliniotis<\/strong> \u2013 Chief Information Officer (CIO), previously Director of Technology Transformation<\/li>\n\n\n\n<li><strong>Helen Galloway<\/strong> \u2013 Independent Chair of The Star Sydney (three-year term upon approval)<\/li>\n<\/ul>\n\n\n\n<p>Cronin will serve as interim CEO of The Star Gold Coast for up to 12 months while the company searches for a permanent replacement. She brings extensive hospitality industry experience, having previously served as President and CEO of Wharf Hotels, Marco Polo Hotels, and Niccolo Hotels in Hong Kong and China.<\/p>\n\n\n\n<p>The new corporate governance framework is being implemented in cooperation with the <strong>New South Wales Independent Casino Commission (NICC) and the Queensland Office of Liquor and Gaming Regulation (OLGR)<\/strong>.<\/p>\n\n\n\n<p>Since 2023, Galloway has been an independent member of the compliance committees of The Star\u2019s operations in Brisbane, Gold Coast, and Sydney.
